Company formation in Poland, Germany and Iraq

We take you through founding a company in a country whose language you do not speak — and we stay after the registration.

We did this ourselves. GIPCBS is a Polish sp. z o.o., registered in Warsaw by people who are not Polish. We have been through the process we are selling.

What a formation actually consists of

The registration itself is the easy part. The same chain runs in all three countries, with different authorities and different traps:

01

Legal form

Which entity, and why that one.

02

Registration

Commercial register, in the right sequence.

03

Tax numbers

Before you can send a single invoice.

04

Notary

Where required, and what to bring.

05

Registered address

Required everywhere, solved differently everywhere.

06

The bank account

The silent deal-breaker for non-residents.

07

Accounting

Set up before the first booking, not after.

08

The first hire

Social insurance and employment law.

Step six is where most foreign formations fail, and it appears in nobody’s brochure. Company founded, account refused. We know that one from our own file — which is why it will not surprise you.

Three countries, one house

Poland

Sp. z o.o., PSA or a branch. Registration can be fast; the speed was never the problem. What decides is everything around it.

Germany

GmbH, UG or a branch. The notary is always involved, and the order of steps is stricter than most founders expect.

Iraq

LLC, branch or an investment structure. For investors, the route runs under Investment Law No. 13 of 2006. Which route applies to your case is exactly what we assess first.

No competitor covers these three countries in one house, in three native languages. We checked.

What we are — and what we are not

We are not a law firm and not a tax practice, and we do not pretend to be.

What we do: we tell you what has to happen in which order, who is allowed to do it, roughly what it costs and how long it takes. We bring in the right people — notary, tax advisor, bank — we sit in the appointments with you, and we tell you in your language what is being asked of you.

A law firm delivers the document and is done. We stay in the room.

HOW THIS IS CHARGED

It starts with a written opinion on your specific case — the right legal form, what belongs to it, where it will pinch. A fixed, small fee; the number comes with the request.

If you go ahead: the setup plan — one document with sequence, authorities, deadlines and approximate costs, at a fixed fee. Then, if you want us beside you, the accompaniment: a monthly rate, for a defined scope and a defined period — the founding, and optionally your first year.

It is not a subscription: what is inside the scope and what is outside it stands in the statement of work, and anything beyond it is agreed in writing before it happens, not discovered on an invoice.

Start with the conversation

Thirty minutes, in German, Polish, Arabic or English. You bring the case; we tell you plainly whether and how we can help.
